Terms of Service
The agreement between Reclack and the businesses that bill through it: what the Services do, how settlement and fees work, what each side is responsible for, and what happens when something goes wrong.

In short
We never hold your money
Payments move from your customer's wallet to an address you control. Reclack is infrastructure, not a custodian, and is not a bank or a money transmitter.
Your customers approve a limit
Recurring collections run against a bounded approval the customer signs in their own wallet. It is never unlimited and they can revoke it.
Onchain payments are final
A confirmed transaction cannot be reversed by us. Refunds are something you send back, and disputes are between you and your customer.
You own your data
Your catalog, customers and records are yours. You can export them, and we delete them on the schedule in the Privacy Policy.
Some businesses we cannot serve
Sanctioned parties, laundering, fraud and a short list of prohibited activities are out of scope, and we will close accounts that use the service for them.
We can change the service
Features change and the terms change with them. Material changes are notified before they take effect, and continued use is acceptance.
This summary is for orientation only. It is not part of the agreement, and where it differs from the sections below, those sections govern.
01
Introduction
These Terms of Service (the “Terms”) govern access to and use of the Reclack website, dashboard, APIs, hosted payment pages and related services (together, the “Services”), operated by Reclack (“Reclack”, “we”, “us”). By creating an account, calling the API, or taking a payment through the Services, you agree to these Terms.
If you are agreeing on behalf of a company or another legal entity, you represent that you have authority to bind it, and “you” refers to that entity. If you do not have that authority, or you do not agree to these Terms, do not use the Services.
What Reclack is
Reclack is billing infrastructure for stablecoin payments. It creates and tracks subscriptions, invoices, checkout sessions and usage records, and submits collections against authorizations your customers sign in their own wallets. It is not a bank, a custodian, an exchange, a money services business or an investment service, and it does not take possession of customer funds.
02
Definitions
- Merchant
- The business using the Services to bill its own customers. In most of this document, that is you.
- Payer
- A person or entity paying a Merchant through a hosted page, a payment link or an invoice.
- Authorization
- The bounded permission a Payer signs in their own wallet, allowing a Merchant to collect up to a stated cap over a stated number of periods.
- Collection
- A transaction Reclack submits against an Authorization when a billing period opens.
- Settlement address
- The blockchain address a Merchant registers, per network, to receive funds. It belongs to the Merchant at all times.
- Supported network
- A blockchain Reclack has enabled for a Merchant's account. The list changes over time and is shown in the dashboard.
- Sandbox
- The test environment, with its own API keys and test networks, which carries no real value.
03
The Services
The Services include some or all of the following, depending on what your account has enabled:
- Subscriptions: recurring billing from a bounded wallet Authorization, with periods that open on their own schedule, collections, retries and cancellation.
- Hosted checkout: a payment page carrying your branding, listing the wallets a Payer's browser exposes and the networks you accept, and explaining in words what is being approved.
- Payment links: a shareable page selling a fixed price or an amount the Payer names, inside limits you set.
- Invoices: documents with line items, memos, tax identifiers and PDFs, sent by email with a pay link, with optional reminders.
- Usage billing: metered plans billed in arrears on usage you record through the API.
- Customer portal: a page where your customers sign in with the wallet they paid from to see plans, invoices, receipts and payments, and to cancel where you allow it.
- Developer surface: REST APIs, scoped API keys, signed webhooks, request logs and a Sandbox.
We may add, change, deprecate or remove features. Where a change materially reduces functionality you rely on, we will give reasonable notice through the dashboard or by email. Features labelled beta, preview or experimental may change or be withdrawn at any time and are provided without any service commitment.
04
Accounts, credentials and keys
You must provide accurate account information and keep it current. You are responsible for everything that happens under your account, including the acts of your team members and anything done with your API keys.
- Keep secret keys secret. Treat them as credentials, not configuration, and never embed them in client-side code or public repositories.
- Use scoped keys where a job does not need full access, and rotate keys when a team member leaves or a key may have been exposed.
- Tell us promptly at security@reclack.com if you believe a key or an account has been compromised.
- Do not share accounts between unrelated businesses. A separate business needs its own account.
We may require identity or business verification before enabling live payments, before raising limits, or where we are required to do so by law or by a partner. We may suspend an account while verification is outstanding.
05
Non-custodial nature of the Services
Reclack does not take custody of funds. A payment moves directly from the Payer's wallet to the Merchant's settlement address on the network the Payer chose. We do not pool funds, hold balances, lend, stake or otherwise use anybody's money.
- You are responsible for the settlement addresses you register, including their security and their correctness. An address entered incorrectly sends funds somewhere we cannot recover them from.
- You are responsible for the private keys controlling those addresses. Reclack never holds them and cannot restore them.
- Reclack never asks a Merchant or a Payer for a seed phrase or a private key, and no part of the Services will ever request one. Treat any such request as fraudulent.
- Where a transaction requires a network fee, that fee is a cost of the network and not a charge by Reclack.
Blockchain risk
Blockchains, wallets, stablecoin issuers and bridges are third-party systems. Congestion, reorganisations, forks, outages, smart-contract defects, issuer action such as freezing or blacklisting an address, and changes in the value or redeemability of a stablecoin are outside our control. Using the Services means accepting those risks.
07
Fees, settlement and taxes
Reclack charges a platform fee on payments processed through the Services. Current fees are shown on the pricing page and in your dashboard. Unless you choose to pass the fee on to the Payer, the fee comes out of the Merchant's share, and the Payer is charged exactly the price they were quoted.
- Where you choose to pass the fee on, the hosted page shows it as its own line so the larger figure has a stated reason.
- Settlement happens on the network the payment was made on, to the address you registered for that network. Changing an address affects future payments only.
- Amounts are computed in integer atomic units. Rounding, where it is needed, is applied once, when the invoice is written.
- You are responsible for determining, collecting, reporting and remitting any taxes arising from your sales. Reclack does not provide tax, legal or accounting advice, and amounts shown in the Services are exclusive of taxes unless stated.
08
Refunds, reversals and disputes
A confirmed blockchain transaction is final. Reclack cannot reverse, claw back or freeze a settled payment, and no part of the Services provides a chargeback mechanism.
- If you agree to refund a Payer, you send funds back from an address you control. Reclack can record that against the payment, but it does not move the money for you.
- Disputes about goods or services are between you and your Payer. You are responsible for your own refund, cancellation and support policies, and for making them available to your customers.
- Where a Payer contacts us about a Merchant's goods or services, we will point them to the Merchant. We are not a party to that contract.
09
Your obligations as a Merchant
- Describe accurately what you sell, at what price and on what cadence, and honour what the hosted page told the Payer.
- Publish your own terms, refund policy and support contact, and keep them reachable from the pages your customers see.
- Comply with the laws that apply to your business, including consumer protection, sanctions, anti-money-laundering, tax and data protection law.
- Do not use the Services to collect from a person you know, or reasonably should know, to be sanctioned or prohibited from transacting with you.
- Keep your own records. The Services keep records of what passed through them, but they are not your books.
10
Acceptable use and prohibited activities
You may not use the Services, or permit anyone else to use them, for any of the following:
- Money laundering, terrorist financing, sanctions evasion, or transacting with sanctioned persons, entities or jurisdictions.
- Fraud, deception or impersonation, including pages that imitate another business, product or person.
- Ponzi, pyramid or matrix schemes, guaranteed-return offers, or anything presented as an investment return that is not one.
- Unlicensed financial services, gambling or lotteries where a licence is required and you do not hold one.
- Selling stolen goods, stolen credentials, malware, hacking services, or access to compromised accounts or systems.
- Content that is illegal in the jurisdictions where you operate, including child sexual abuse material, which we report.
- Requesting seed phrases, private keys or wallet recovery details from any person, or representing that Reclack does.
- Attempting to probe, scan, overload or circumvent the Services, their rate limits or their security, other than through a disclosure channel we have agreed with you.
- Reselling or sublicensing the Services as your own billing product without a written agreement with us.
We may investigate suspected violations and may suspend or terminate access where we reasonably believe this section has been breached, where we are required to by law, or where continuing would expose Reclack, a Payer or a network partner to material risk.
11
Data protection and privacy
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. In short: for your own account data we act as controller, and for data you process about your customers through the Services we act as processor on your instructions.
- You are responsible for having a lawful basis to send us personal data about your customers, and for telling them how it is used.
- Where data protection law requires a data processing agreement, ours is available on request at privacy@reclack.com.
- Blockchain records are public and permanent. Information written to a chain, including addresses and amounts, cannot be deleted by us or by you.
12
Intellectual property
Reclack and its licensors own the Services, including the software, APIs, documentation, design and brand. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services while your account is in good standing, and nothing more.
- You own your content: your catalog, your customer records, your branding and anything else you upload or create through the Services.
- You grant us the rights needed to host, process and display that content in order to provide the Services, and for no other purpose.
- You may not copy, reverse engineer, resell or create derivative works from the Services except to the extent that restriction is unenforceable by law.
- If you send us feedback, we may use it without obligation. It is welcome and it is not confidential unless you say so.
13
Availability, support and changes
We aim to keep the Services available and to carry out maintenance with as little disruption as possible, but we do not promise uninterrupted availability unless a separate written agreement says otherwise.
- Billing operations that depend on a blockchain are subject to that network's availability and confirmation times.
- We may throttle or rate limit requests to protect the Services, and will publish limits in the documentation where they are fixed.
- Sandbox is for testing. It carries no value, may be reset, and gives no availability commitment.
14
Suspension and termination
You may stop using the Services at any time and close your account from the dashboard. We may suspend or terminate access where you breach these Terms, where an account presents legal or security risk, where fees are unpaid, or where we are required to by law.
- Where circumstances allow, we will give notice and an opportunity to fix the problem before suspending a live account.
- On termination, your right to use the Services ends. You remain responsible for obligations owed to your customers and for fees already incurred.
- We will keep your data available for export for a reasonable period after termination, and will then delete or anonymise it as described in the Privacy Policy, except where we must retain it by law.
- Authorizations your customers signed live in their wallets, not with us. After termination you should tell your customers to revoke any approval they no longer want to keep open.
15
Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement.
We do not warrant that the Services will be uninterrupted or error free, that any defect will be corrected, or that the Services will meet your requirements. We make no warranty in respect of third-party systems, including blockchains, wallets, stablecoin issuers, email providers and the networks over which payments settle.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
16
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, goodwill or data, however caused and on any theory of liability.
To the maximum extent permitted by law, Reclack's total aggregate liability arising out of or relating to these Terms or the Services is limited to the greater of the platform fees you paid to Reclack in the three months before the event giving rise to the claim, or one hundred United States dollars.
Reclack is not liable for loss of funds caused by an incorrect settlement address, a compromised wallet or key, an action taken by a stablecoin issuer, a defect in a third-party smart contract, or a blockchain's own behaviour.
17
Indemnification
You will defend, indemnify and hold harmless Reclack and its officers, employees and agents from any claim, demand, loss or expense, including reasonable legal fees, arising out of:
- Your use of the Services, including anything done under your account or with your API keys.
- Your breach of these Terms or of any law applicable to your business.
- The goods or services you sell, including any dispute with a Payer about them.
- Any claim that your content or branding infringes the rights of a third party.
18
Changes to these Terms
We may update these Terms as the Services change or as the law requires. We will post the updated Terms with a new “last updated” date, and for material changes we will give notice by email or in the dashboard before they take effect.
Continuing to use the Services after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Services and close your account.
19
Governing law and general terms
These Terms are governed by the laws of the jurisdiction in which Reclack is established, without regard to conflict of law rules, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, subject to any mandatory rights you have as a consumer in your own country.
- Entire agreement: these Terms, the Privacy Policy and any order form or written agreement between us form the whole agreement on their subject matter.
- Severability: if a provision is unenforceable, the rest remains in force and the provision is read down to the minimum extent needed.
- No waiver: not enforcing a right on one occasion does not waive it.
- Assignment: you may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- Force majeure: neither party is liable for failure caused by events beyond its reasonable control.
- Notices: we may give notice by email to the address on your account or through the dashboard.
Before you rely on this
Reclack's corporate details, place of establishment and governing jurisdiction are stated in the dashboard and on request. Where this document leaves those to be filled in for a particular contract, the written agreement between us governs.
